LLC Formation Documents

To form an LLC, you must pay your State filing fee and also file formation documents for an LLC. Every state has its own specific forms responsible for creating an LLC for you. These documents are referred as:

  • Articles of Organization
  • Certificate of Formation
  • Certificate of Organization

Some states need a few additional documents as well.

Before Preparing your Documents

You must know the details of the information that you need to put in your formation documents. It is important for LLC formation. The very first step is to choose a name for your LLC. This name should not be the same as some other business name. The second step is to designate a registered LLC agent for your LLC. You should choose someone who is professional.

Filing your LLC Formation Documents

These documents include your LLC’s name, official address, effective date, and your Registered agent information.

You can use two methods to file your LLC Formation Documents with your state.

  • You can send your documents by mail.
  • If you want to register LLC quickly, submit your documents online.

The state will charge a one-time fee for the formation of your LLC. But there would be no monthly charges for it. Every state has a different fee that you can see from the table listed below. When you send LLC Formation Documents by mail, you need to pay through a check or a money order. But if you have done it online, you need to pay it by a credit or a debit card.

What to do after submitting your documents?

After submitting your LLC Formation Documents, and your filing fee, your State will review and then process your documents. If the State finds any issue with it, they will notify you and ask you to do certain corrections. But if there are no issues, your LLC will be approved within one to two weeks. It depends on your method of filing; if you filed online, it will be done in 1 week but by mail, it can take 2 weeks.

You will receive a stamped and approved copy of your LLC Formation Documents, depending on your state. This is a confirmation of the formation of your LLC as a legally formed business in the state.

The Requirements

After your LLC is formed, your paperwork with the state is not over yet. Most states require you to file an Annual Report and pay your Annual or Biennial fee. You also have to pay state taxes annually.
